These Terms of Service ("Terms") form a binding agreement between you and Theseus Guard, Inc. concerning theseusguard.com, the Theseus Guard platform, and related services (collectively, the "Services").
1. Eligibility and Acceptance
You may use the Services only if you can form a binding contract and comply with applicable law. By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind it.
2. The Services and Accounts
Theseus Guard provides AI governance, compliance, monitoring, evaluation, runtime enforcement, provenance, and related features. Features, availability, limits, integrations, and requirements may change. You are responsible for keeping credentials secure, providing accurate information, and activity under your account. Connected third-party services remain subject to their own terms.
3. Customer Content, Models, and AI Disclaimer
You retain rights you may have in content you submit. You grant Theseus Guard a limited license to host, store, reproduce, process, transmit, display, and modify that content as reasonably necessary to provide, secure, support, and improve the Services, comply with law, and enforce these Terms. You represent that you have the rights needed to submit it. Tenant-scoped customer content, review records, control datasets, embeddings, and governance results remain isolated to the relevant customer environment and are not used to train or fine-tune Theseus Guard models.
Theseus Guard's TG-Sentinel:Fast, TG-Sentinel:Max, TG-Sentinel:Ultra, and TG-Sentinel:Embedding models are Theseus Guard intellectual property. The TG-Sentinel models provide stateful guardrail checks before and after agent execution. TG-Sentinel:Embedding compares input embeddings against tenant-scoped control datasets in a vector database. Customers may use Theseus Guard-provided model APIs, including AWS Bedrock, OpenRouter, Vercel, Azure, or Google Cloud Platform, or may provide supported BYOK credentials through the LiteLLM integration. Third-party providers remain subject to their own terms and policies.
AI outputs and governance recommendations may be incorrect, incomplete, or unsuitable for a particular situation. They are not legal, regulatory, security, or professional advice. You are responsible for independently reviewing important outputs and decisions.
4. Fees, Intellectual Property, and Acceptable Use
Prices, billing intervals, taxes, limits, and included features will be shown in the applicable order or agreement. Payments may be processed by a third party. The Services, software, design, branding, documentation, and materials provided by Theseus Guard are owned by or licensed to Theseus Guard. You may use them only for personal or authorized internal purposes, subject to these Terms. You must comply with the Acceptable Use Policy.
5. Suspension, Disclaimers, and Liability
We may suspend or terminate access if you violate these Terms, create risk, fail to pay, or if needed to protect the Services or comply with law. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ACCURACY, RELIABILITY, UNINTERRUPTED OPERATION, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THESEUS GUARD WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID FOR THE SERVICES IN THE SIX MONTHS BEFORE THE EVENT OR USD $100. These limitations do not apply where prohibited by law.
6. Governing Law and Contact
These Terms are governed by the laws of the State of Delaware. Disputes not resolved informally will be brought in state or federal courts located in Delaware, except where applicable law gives you a non-waivable right to bring a claim elsewhere.
